Board of Directors

The Colorado Foundation for Medical Care Board of Directors sets overall policy and direction and has ultimate oversight responsibility for the corporation. CFMC’s board is comprised of seventeen members, representing a variety of health care settings, disciplines, and stakeholders across Colorado. The bylaws ensure that the board is not comprised of a majority of physicians or any type of practitioner or profession. As of 2008, fourteen board members may serve up to two consecutive 3-year terms or six consecutive years; up to three members may serve no longer than nine consecutive years. Election of regular board members occurs at the annual meeting each October and is staggered so that 29% to 35% of members are elected each year. The CFMC board does not have CFMC employee or staff membership.

At least two-thirds of the board members are independent and have not been compensated by CFMC within the last year for non-governing body services. The chair and vice chair of the board may receive compensation for their time spent weekly overseeing CFMC management, $1000 and $500 per month, respectively. Travel and per diem reimbursement for board members is consistent with Federal Acquisition Regulation (FAR) and Quality Improvement Organization (QIO) reimbursement guidelines.
